Terms of Service

By accessing or using the OnCue AI website and services ("Services"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, please do not use our Services. These Terms apply to all visitors, users, and clients of OnCue AI Ltd, a company registered in England and Wales.

OnCue AI provides: • A free reactivation estimator that gives an indicative figure for the revenue sitting dormant in your database, and a summary of the channels suited to your list • AI lead reactivation campaigns run across SMS, WhatsApp, email and voice, targeting dormant leads and past customers held in your own database The estimator is provided free of charge. Reactivation campaigns are provided under separate agreements.

The dormant revenue figure shown by our estimator is an illustrative projection, calculated from the list size and average deal value you enter against a conservative assumed conversion rate. It is not a forecast, a guarantee, or a promise of results, and actual campaign performance varies with the age, quality and source of your data. Campaign scope and terms are confirmed in writing and are subject to a separate agreement. OnCue AI makes no warranties regarding the accuracy, completeness, or fitness for purpose of any AI-generated estimate or summary.

All reactivation work is governed by a separate campaign agreement signed by both parties. That agreement will specify: • The lists and segments in scope • The channels to be used and the sending schedule • Commercial terms and payment schedule • Launch timeline and reporting • Data processing responsibilities and opt-out handling You confirm that you have a lawful basis to contact the leads on any list you supply, and that any prior opt-outs have been removed before it reaches us. In the event of any conflict between these Terms and a campaign agreement, the campaign agreement shall prevail.

You retain ownership of your lead data at all times, and of any campaign copy written specifically for your brand, upon full payment of all campaign fees. OnCue AI retains ownership of: • Our reactivation system, sequencing logic, frameworks and methodologies • Generic components and libraries used to operate campaigns (subject to their respective licences) • The OnCue AI brand, website, and reactivation estimator We reserve the right to reference the campaign and its headline results in our portfolio unless otherwise agreed in writing.

To the maximum extent permitted by law, OnCue AI shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of our Services. Our total liability to you for any claim arising from these Terms or a campaign engagement shall not exceed the total fees paid by you to OnCue AI in the preceding 12 months. This limitation does not apply to liability for death or personal injury caused by our negligence, or for fraud or fraudulent misrepresentation.

These Terms are governed by the laws of England and Wales. Any disputes arising from these Terms or our Services shall be subject to the exclusive jurisdiction of the courts of England and Wales. If you have questions about these Terms, please contact us at lior@oncueai.net.
